LocalGuild Terms of Service

These terms are an agreement between you and DE Digital LLC, a Florida limited liability company that operates LocalGuild ("LocalGuild", "we", "us"). They cover our website at localguild.app, our web app, and the LocalGuild Chrome extension (together, the "Service"). By creating an account or using the Service, you agree to these terms. If you use LocalGuild on behalf of a business, you agree for that business too, and you confirm you're allowed to.

Our Privacy Policy explains how we handle information. Our SMS Terms cover text messages. Both are part of these terms.

1. What LocalGuild is

LocalGuild helps local home-service businesses recommend each other. A guild is a group of trusted, non-competing local businesses: usually one company per trade, such as HVAC, roofing or plumbing. When someone in a local Facebook group asks for a recommendation, LocalGuild lets guild members know so they can jump in and recommend the right business.

2. Who can use it

  • You must be at least 18 and in the United States.

  • LocalGuild is invite-only. You join through an invitation from a guild's host company, a company admin, or LocalGuild.

  • You must give accurate information, including your name, contact details and business details, and keep it up to date.

  • You're responsible for your account and for anything done through it. Tell us right away at support@localguild.app if you think someone else is using it.

3. Roles

  • LocalGuild operators (our staff) run each guild's settings. For example, they decide whether alerts go out automatically, and they can pause alerts. They can also suspend or remove members and companies.

  • The host company manages its own team and can invite other businesses into its guild.

  • A company admin manages their company's team (employees and advocates), business profile, keywords and watched groups. Each company has one admin at a time.

  • Employees get alerts and can recommend other guild businesses.

  • Advocates are friends, family or past customers who choose to recommend a business.

Each company is responsible for the people it invites.

4. The Chrome extension and your Facebook account

The extension is optional. If you install it:

  • What it does. While you browse Facebook groups your guild watches, it looks for posts asking for home-service recommendations. When it finds one, it sends us the post's text, the group, and a link, so we can check whether it's a real request. We never receive the names or profiles of the people who post. The Privacy Policy explains what we keep and for how long.

  • Background checks (optional, higher risk). If you turn them on, the extension uses your logged-in Facebook session to check your guild's groups for new posts without you opening them. It runs within limits: only while you're using your computer, at most 4 groups at a time, 12 checks an hour and 80 a day. It stops for three days if Facebook shows any security check or limit. Facebook does not allow automated access like this. If Facebook detects it, it may restrict or disable your account. Background checks stay off unless you turn them on, and you can turn them off at any time.

  • Your Facebook account is your responsibility. Using tools like this on Facebook may be against Facebook's terms. You decide whether to use the extension and its background checks, and you're responsible for your own Facebook account and for following Facebook's rules. LocalGuild isn't responsible if Facebook limits, suspends or closes your account.

  • Only your own groups. Use the extension only with your own Facebook account and in groups you're really a member of. Don't change the extension or use it to collect information beyond what it's built to do.

  • Pausing and disconnecting. You can pause the extension, disconnect it from your LocalGuild account, or uninstall it at any time.

5. AI checks can be wrong

We use an AI service to judge whether a post is a real request for a recommendation, which trade it needs, and which business fits. It also writes a short summary. These checks can be wrong. An alert can be a false alarm, and real requests can be missed. Before you respond, open the post and use your own judgement. You can report a false alert from the alert page, which helps us improve.

6. Recommendations are your own words

When you recommend a business in a Facebook group or anywhere else, that post is your own speech, and you're responsible for it.

  • Be honest. Only recommend a business you actually know or believe in. Never make up an experience, pretend to be a customer you're not, or post fake reviews or ratings.

  • Disclose your connection. Guild members recommend each other, which is a connection people should know about. Keep a clear disclosure in every recommendation. The suggested comment we give you already ends with one, such as "(I'm part of a local trades network with them.)". Don't remove it or hide it. This follows the Federal Trade Commission's rules on endorsements, and many groups have their own rules too.

  • Follow the group's rules. Respect each group's rules on business recommendations and self-promotion.

  • Tapping "I endorsed this" tells your guild you responded. Only tap it if you really did.

7. Acceptable use

You agree not to:

  • send spam, or post the same recommendation over and over;

  • harass, threaten, mislead or pressure the people who post, or anyone else;

  • contact people who post except by replying publicly in the thread, unless they invite you to;

  • use lead information for anything other than responding to that request;

  • sell, share or publish lead information outside your guild;

  • scrape, copy or collect data from Facebook, or from LocalGuild, beyond what the Service is built to do;

  • misuse alerts, for example by sending fake leads, forwarding alert links to people outside your guild, or trying to trigger alerts artificially;

  • try to reach data you're not allowed to see, including other guilds' data;

  • probe, disrupt or overload the Service, or get around its limits or security;

  • impersonate anyone, or misrepresent your business;

  • break any law, or anyone else's rights.

8. Text messages and email

Text messages are covered by our SMS Terms. Reply STOP to opt out at any time. Every alert email has an unsubscribe link, and you can change your alert preferences in your account.

9. Fees

LocalGuild is currently free. We may introduce fees later. If we do, we'll tell you in advance, and you won't be charged unless you agree.

10. Suspension, removal and ending your account

  • What we can do. We may suspend or remove a member, or remove a company from a guild. We may do this if they break these terms, if they create risk for other members or for LocalGuild, or if we're required to by law. We'll usually explain why, unless we can't.

  • What a company admin can do. A company admin can remove people from their team.

  • Leaving. You can stop using LocalGuild at any time.

  • Deleting your account. To delete your account, email privacy@localguild.app. We'll complete it within 30 days, as described in the Privacy Policy, which also lists the few records the law requires us to keep. If you're the only admin of an active company, we'll ask you to name a new admin first.

  • What ends, and what survives. When your account or your company's membership ends, your access ends. Sections 6, 7 and 11–15 still apply after that.

11. Our rights and yours

LocalGuild, including its software, design and name, belongs to us. We give you a personal, non-transferable, revocable right to use the Service under these terms.

You keep ownership of the information you give us, such as your business profile. You allow us to use it to run the Service. For example, we show your company to your guild and use your profile to match requests.

Suggestions and feedback you send us can be used freely, without any obligation to you.

12. No guarantees

We don't promise any number of leads, recommendations, customers or business results. The Service is provided "as is" and "as available." As far as the law allows, we make no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee that:

  • the Service will be uninterrupted or error-free;

  • alerts will be accurate, complete or on time;

  • the Service will keep working with Facebook or any other platform, which may change or block it at any time.

We aren't responsible for other people's posts, other guild members' actions, or the work any business does for a customer.

13. Limitation of liability

As far as the law allows, LocalGuild and its members, managers, employees and agents won't be liable for any of these, even if we were told they were possible:

  • indirect, incidental, special, consequential or punitive damages;

  • lost profits, revenue, business or data;

  • damage to or loss of any third-party account, including your Facebook account.

Our total liability for any claim about the Service is limited to the greater of $100 or the amount you paid us for the Service in the 12 months before the claim. Some states don't allow some of these limits, so they may not all apply to you.

14. Indemnity

You agree to defend and indemnify LocalGuild against claims, damages and costs, including reasonable attorneys' fees, arising from any of these:

  • your use of the Service;

  • your recommendations and posts;

  • your breach of these terms;

  • your breach of any law or of any third party's rules or rights, including Facebook's terms.

15. Governing law and disputes

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute about these terms or the Service will be brought only in the state or federal courts located in Sarasota County, Florida. You and we both agree to those courts' jurisdiction.

16. Changes to these terms

We may update these terms. If we make significant changes, we'll let you know by email or in the app before they take effect. The effective date at the top always shows the current version. If you keep using LocalGuild after changes take effect, that means you accept them.

17. Other terms

  • Entire agreement. These terms, the Privacy Policy and the SMS Terms are the whole agreement between us about the Service.

  • Severability. If any part is found unenforceable, the rest still applies.

  • No waiver. If we don't enforce something straight away, we haven't given up the right to enforce it later.

  • Transfer. You can't transfer these terms. We may transfer them as part of a merger, acquisition or sale of assets.
